About these terms
These terms tell you the rules for using this website. By using the site you accept them. If you do not agree, please do not use the site.
They apply to the website only. Any services we provide, including growth audits, creative sprints and retainers, are governed by the written agreement we sign with you, which takes precedence over anything on this site.
Our privacy policy explains how we use personal data, and also applies to your use of the site.
Who we are
This site is operated by Upwell Growth Ltd, a company registered in England and Wales with its registered office at 3rd floor, 28 Turnmill Yard, Clerkenwell, London EC1M 5RT. You can reach us at hello@upwell.agency or on 020 7946 0418.
Using our site
The site is free to use and is aimed at businesses based in the United Kingdom. We do not guarantee that it, or any content on it, will always be available or uninterrupted. We may suspend, withdraw or restrict all or part of it for business or operational reasons, and will try to give notice where we can.
You are responsible for the devices and connection you use to access the site, and for making sure anyone using it through your connection is aware of and follows these terms.
You must not use the site in any way that is unlawful or fraudulent, that harms or attempts to harm anyone, or to send unsolicited advertising or promotional material.
Changes to the site and these terms
We update the site regularly, for example to add new case studies or change what we offer. We may also revise these terms. Please check this page each time you use the site, as the version in force at that time applies to you. The date at the top shows when they last changed.
Our content and intellectual property
We own, or are licensed to use, all intellectual property rights in the site and the material published on it, including its design, text, graphics, photography and film. These works are protected by copyright and other laws.
Client work shown on the site appears with the permission of the clients concerned. Their names, logos and trade marks belong to them and are used to describe the work we did together. Nothing on the site grants you any licence to use them.
You may view the site, print a reasonable number of pages for your own reference and share links to it. You must not copy, adapt or republish any part of it for commercial purposes, or use any illustrations, photography, film or graphics separately from the text that accompanies them, without our written permission. Please ask at hello@upwell.agency.
Case studies, figures and prices
The results we publish are real figures for the clients and periods stated, measured as described. They show what happened in those campaigns, under those conditions. They are not a forecast or guarantee of the results any other business will achieve, which depend on its product, margins, market, budget and many factors outside our control.
The fee calculator and the prices shown on the site are indicative and exclude VAT. They are not an offer. Our fees are confirmed in a written quote and agreement before any work begins.
The content on the site is provided for general information only. It is not advice on which you should rely, and you should obtain professional or specialist advice before acting on it.
When you contact us
Sending an enquiry or booking request through the site does not create a contract between us. A contract exists only once we have both signed a written agreement or statement of work.
Anything you send us should be accurate and yours to share. Please do not send confidential information, ad account credentials or customer data through the website form. If we work together, we will agree a secure way to grant access.
Links to other sites
Where the site links to other websites and resources, including social networks, maps and the sites of clients we have worked with, those links are provided for your information only. We have no control over their content and accept no responsibility for them or for any loss that may arise from your use of them.
Our responsibility to you
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of England and Wales.
Because the site is aimed at businesses, and to the extent permitted by law, we exclude all implied conditions, warranties and representations that may apply to it or its content. We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising under or in connection with the use of, or inability to use, the site, or the use of or reliance on any content displayed on it.
In particular, we will not be liable for loss of profits, sales, business or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect or consequential loss or damage.
Viruses and misuse
We take reasonable care to keep the site secure, but we do not guarantee that it will be free from bugs or viruses. You should use your own virus protection software.
You must not misuse the site by knowingly introducing viruses, trojans, worms or other material that is malicious or technologically harmful, or attempt to gain unauthorised access to the site, the server on which it is stored, or any server, computer or database connected to it. Doing so may be a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and co-operate with them, including by disclosing your identity.
Linking to our site
You are welcome to link to our home page or any other page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not suggest any form of association, approval or endorsement on our part where none exists, and you must not frame the site on any other website. We may withdraw linking permission without notice.
Which law applies
These terms, their subject matter and their formation, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
